Vibin™ is a closed platform. Users are not permitted to connect, embed, or integrate third-party services, applications, or external tools into the Platform. This includes - but is not limited to - social media plugins, payment gateways, messaging apps, analytics trackers, or external content feeds.

13a. No External Embeds

Users may not:

• Link or embed third-party services within their profiles, posts, or groups.

• Use automation tools, bots, or scripts to interact with the Platform.

• Connect Vibin™ to external platforms for promotional or functional purposes.

All content and interactions must occur natively within Vibin™.

13b. Platform Integrity

This restriction is in place to:

• Maintain platform security and performance.

• Protect user privacy and data.

• Prevent abuse, spam, and unauthorized access.

Vibin™ reserves the right to block, remove, or restrict any content or account attempting to bypass this policy.

13c. Vibin™ Integrations

Any integrations or partnerships initiated by Vibin™ are managed internally and do not grant users the ability to modify or extend platform functionality. We may use third-party services for hosting, analytics, or payment processing, but these are governed by our internal policies and do not affect user permissions.

Social handles must:

• Link to public-facing profiles only.

• Be personal and not promotional in nature.

• Comply with all other content and conduct guidelines.

We encourage authentic connection - not advertising.

15b. Prohibited Links

Users may not share or promote:

• Personal websites, blogs, or ecommerce stores, unless permitted beforehand and in authorized groups or areas of the site.

• Affiliate links, referral codes, or monetized content.

• External platforms offering adult content, services, or communities.

• Links to any site that violates Vibin™ policies or applicable laws.

Advertising, promotion, or redirection to external services is strictly prohibited unless agreed upon otherwise, in writing, between the user and Vibin™.

15c. Enforcement

Vibin™ reserves the right to:

• Remove any link that violates this policy.

• Suspend or terminate accounts that repeatedly post unauthorized links.

• Block domains or keywords associated with prohibited content.

We maintain a clean, focused space. External clutter gets filtered out.

16. 📚 DMCA & Copyright Infringement

Vibin™ respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). This section outlines how we handle copyright claims, protect original creators, and enforce takedown procedures.

16a. Our Commitment to IP Protection

As the creator and operator of Vibin™, we take copyright seriously. All original content, branding, and platform assets - including the name Vibin™, its stylization, and affiliated media - are protected under applicable copyright and intellectual property laws.

We actively monitor for infringement and use modern tools to detect unauthorized use of our brand, content, or likeness. Violators will be pursued aggressively, whether individuals or platforms.

16b. User Responsibility

Users must only upload or share content they own or have permission to use. This includes:

• Images, videos, and audio.

• Any media or material submitted to the Platform.

Uploading copyrighted content without authorization is strictly prohibited and may result in account termination, content removal, or legal action.

16d. Counter-Notification

• A statement under penalty of perjury that you have a good faith belief the removal was a mistake.

• Your consent to jurisdiction in the relevant legal district.

• Your electronic or physical signature.

We may restore content if the original claimant does not pursue legal action within the timeframe required by law.

16e. Repeat Infringers

Vibin™ maintains a zero-tolerance policy for repeat copyright violators. Accounts found to repeatedly infringe on intellectual property may be permanently banned, and their data may be retained for legal purposes.

18b. Immediate Action

• A user poses a threat to platform safety or user wellbeing.

18c. No Refunds Upon Termination

Users whose accounts are terminated for violating these Terms are not entitled to refunds for purchases, donations, or unused services. Access to content, groups, or features may be revoked permanently.

18d. Data Retention & Legal Cooperation

Vibin™ may retain user data after termination for:

• Legal compliance and enforcement.

• Investigation of violations or disputes.

18e. Voluntary Account Closure

• Your violation of these Terms or any applicable laws.

• Your uploaded content, including media, text, or links.

• Any interaction, transaction, or dispute between you and another user.

• Your infringement of intellectual property, privacy, or publicity rights.

• Your misuse of Vibin™ branding, services, or features.

• Any claim that your content caused harm, offense, or legal exposure to another party.

19a. User-Generated Content

You are solely responsible for any content you upload, post, or share on Vibin™, including:

• Text, comments, and messages.

• Images, photos, and media files.

• Group posts, bios, and profile information.

If your content triggers a legal complaint, takedown request, or lawsuit, you are responsible for resolving it - not Vibin™.

19b. Interactions & Conduct

You agree to indemnify Vibin™ against any claims arising from:

• Harassment, bullying, or non-consensual behavior.

• Defamation, impersonation, or misrepresentation.

• Disputes between users, including emotional, financial, or reputational harm.

We provide the space. You provide the behavior. You own the consequences.

19c. Enforcement Rights

Vibin™ reserves the right to:

• Assume exclusive defense and control of any matter subject to indemnification.

• Require cooperation from you in defending claims.

• Recover costs and damages resulting from your breach or misconduct.

We protect our brand, our platform, and our community - and we expect users to do the same.

20. ⚠️ Limitation of Liability

To the fullest extent permitted by law, Vibin™, its owner, affiliates, agents, and legal representatives shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to:

• Your use of the Platform.

• Your inability to access or use the Platform.

• Any content uploaded, shared, or viewed on the Platform.

• Interactions, disputes, or transactions between users.

• Errors, omissions, or delays in service.

• Technical failures, outages, or data loss.

• Unauthorized access to your account or data.

• Suspension, termination, or modification of services.

This applies whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory—even if Vibin™ has been advised of the possibility of such damages.

20a. No Guarantees

Vibin™ is provided “as-is” and “as-available.” We make no warranties or guarantees regarding:

• Platform uptime or availability.

• Accuracy or reliability of content.

• Safety or legality of user interactions.

• Suitability of the Platform for any particular purpose.

Use the Platform at your own risk. You are responsible for your own decisions, conduct, and consequences.

20b. Maximum Liability

In any case where Vibin™ is found liable, our total liability shall not exceed the amount you paid to XL BBC™ in the six (6) months preceding the claim. If you have not made any payments, our liability is capped at $20 USD.

This limitation reflects the nature of the Platform and the voluntary, user-driven experience it provides.

21. 🌪️ Force Majeure

Vibin™ shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control. This includes, but is not limited to:

• Acts of God (earthquakes, floods, wildfires)

• War, terrorism, or civil unrest

• Government restrictions or legal orders

• Power outages, internet disruptions, or infrastructure collapse

• Pandemics, epidemics, or public health emergencies

• Labor strikes or supply chain breakdowns

• Cosmic anomalies, alien invasions, or the spontaneous awakening of a global hive-mind kink collective that overwhelms all bandwidth and reason

If any such event prevents Vibin™ from operating normally, we reserve the right to suspend or modify services without liability.

22. ⚖️ Governing Law & Jurisdiction

These Terms, and any dispute arising from or related to your use of Vibin™, shall be governed by and construed in accordance with the laws of the jurisdiction in which Vibin™ maintains its principal place of business, without regard to conflict of law principles.

You agree that:

• Any legal action or proceeding shall be brought exclusively in the courts located within that jurisdiction.

• You waive any objection to venue or jurisdiction based on inconvenience or location.

• Vibin™ may seek injunctive or equitable relief in any jurisdiction if necessary to protect its intellectual property, enforce platform integrity, or prevent harm.

This clause applies to all users, regardless of geographic location. By accessing Vibin™, you consent to the application of these laws and the exclusive jurisdiction of the specified courts.

23. ⚖️ Dispute Resolution

Vibin™ is committed to resolving disputes fairly, efficiently, and without unnecessary escalation. This section outlines how disagreements between users and Vibin™ will be handled.

23a. Informal Resolution First

Before initiating any formal legal action, you agree to attempt to resolve any dispute with Vibin™ informally by contacting jobesmith@vibinlaw.com. We will make a good faith effort to respond within 30 days and work toward a mutually acceptable resolution.

23b. Binding Arbitration

If a dispute cannot be resolved informally, you agree that it shall be submitted to binding arbitration in the jurisdiction of Vibin™’s principal place of business. Arbitration will be conducted in accordance with the rules of a recognized arbitration body, and judgment on the award may be entered in any court with appropriate jurisdiction.

You waive the right to a trial by jury or to participate in a class action.

23c. Exceptions

Vibin™ may seek injunctive or equitable relief in court to:

• Protect its intellectual property.

• Enforce platform integrity.

• Prevent harm or abuse.

These exceptions do not waive the general requirement for arbitration in other disputes.

23d. Time Limit

Any claim or dispute must be filed within six (6) months from the date the issue arose. Claims filed after this period are permanently barred.

If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, that provision shall be deemed severable from the rest of the Terms and shall not affect the validity or enforceability of the remaining provisions.

The remaining Terms will continue in full force and effect, and shall be interpreted to best reflect the original intent of the parties.

These Terms constitute the entire agreement between you and Vibin™ regarding your access to and use of the Platform. They supersede all prior or contemporaneous communications, understandings, or agreements - whether oral, written, or implied.

No waiver, modification, or amendment of these Terms shall be effective unless made in writing and signed by Vibin™.

You acknowledge that:

• No informal statements, social media posts, or user-to-user interactions alter these Terms.

• Any additional policies, guidelines, or notices published by Vibin™ are incorporated by reference and form part of this Agreement.

• Your continued use of the Platform signifies full acceptance of these Terms.

Vibin™ reserves the right to modify, update, or revise these Terms at any time, for any reason, without prior notice. Changes may reflect updates to our services, legal requirements, or platform policies.

26a. Notification of Changes

• Update the “Effective Date” at the top of the document.

• Provide notice through email, platform alerts, or other reasonable methods.

Your continued use of Vibin™ after any update constitutes acceptance of the revised Terms.

26b. User Responsibility

It is your responsibility to review the Terms periodically. We encourage users to stay informed and check for updates regularly.

If you do not agree to the amended Terms, you must discontinue use of the Platform.
